ViacomCBS Expands Paramount+ Distribution in the Nordics

New agreements signed with Com Hem and Telenor in Sweden and with Sanoma in Finland to offer Paramount+ as standalone subscription service

ViacomCBS Networks International (VCNI) today announced new distribution agreements in Sweden and Finland, as it extends the rollout of its premium streaming service Paramount+ and strengthens partnerships across the Nordic markets.

In Finland, Paramount+ will launch on Sanoma’s Ruutu platform as a standalone subscription service, offering subscribers new and classic movies from the Paramount Pictures library, as well as popular series from Paramount Network, Comedy Central, MTV, and Nickelodeon.

In Sweden, ViacomCBS Networks Nordics announced partnerships with two of Sweden’s leading TV-distributors, Com Hem and Telenor, through which its premium SVOD service Paramount+ will become available as a standalone subscription product.

Paramount+ initially launched in the Nordics in 2017 as a set-top box (STB) and TV Everywhere service, available to higher-tier subscribers of pay TV operators. In the Nordics, it offers the first pay TV window to Paramount Pictures’ movies alongside a selection of classic film titles from its library, as well as top TV dramas and popular programming from ViacomCBS-owned brands Paramount Network, MTV, Comedy Central, Nickelodeon, BET, Bellator MMA and Channel 5.

As part of ViacomCBS’ commitment to investing in Paramount+’s content offer in the Nordics, Paramount+ has also secured second pay rights to Nordic distributor Scanbox’s movie releases. Nordic viewers will now be offered a huge variety of content for all ages, including new Paramount movies, such as Rocketman and Crawl, the ABBA: The Secrets of Their Greatest Hits documentary, critically acclaimed drama Yellowstone, starring Kevin Costner and films such as PAW Patrol: Ready, Race, Rescue! and Dora And The Lost City Of Gold.

Channel 5 Commits To UK Commissioning Strategy Following ViacomCBS Merger; Move Satisfies Regulator Ofcom

British broadcaster Channel 5 will keep its commitment to commissioning a “wide range” of UK-originated productions following the merger between Viacom and CBS – a move that has satisfied Ofcom, the independent regulator and competition authority for the UK communications industries.

The body investigated if the $30B (USD) merger would have any material impact on the broadcaster's news and current affairs output, its original productions, and on programmes it produces outside of London under the rules set out in the 2003 Communications Act but were satisfied that as Viacom and CBS are currently controlled by the same owners, the merger does not change who controls the licence.

The British regulator has concluded that the change in ownership of the network “would not have a prejudicial effect” on C5's delivery in these areas after reviewing its licence agreement.

Ofcom was notified of the merger on September 10 and David Lynn, President and CEO of Viacom International Media Networks (VIMN), wrote to the regular on November 12 to explain the extent to which the proposed merger is anticipated to impact on the Channel 5 licence.

He wrote, “It has recently been announced that following the Transaction I will oversee the combined company’s international media networks, including Channel 5. I am therefore able to assure you that my UK team will maintain the same degree of control over programming and investment strategy for Channel 5 as prior to the transaction, and the same level of commitment to investing in a wide range of UK-originated productions.”

“We think the ownership and executive leadership of the new entity are relevant factors to the future of Channel 5, as these may affect the investment strategy and future commissioning decisions,” Ofcom added. “It appears to us that the transaction has a strategic and commercial rationale which is not to do with Channel 5 and therefore would be unlikely to affect its strategic direction directly.”

Ofcom is required by the Communications Act to review the likely effects of the change.

Viacom and CBS expect to close the all-stock transaction after the close of trading on December 4. On the next day, December 5, the companies will become a single entity, ViacomCBS Inc. Its interests will also include the CBS television network, the Nickelodeon brand and the Paramount film studio.

Von der Fusion sind mittelbar auch die im deutschen Fernsehmarkt aktiven Viacom-Tochtergesellschaften betroffen: die VIMN Germany GmbH als Veranstalterin der Programme MTV, MTV Brand New, NICK und nicktoons sowie die VIVA Media GmbH als Veranstalterin des Programms Comedy Central.

Die KEK hat entschieden, dass der Beteiligungsveränderung keine Gründe der Sicherung der Meinungsvielfalt entgegenstehen.

ViacomCBS Launches Nicktoons Channel in Ukraine

Update (13/3/2020) - NickToons Ukraine (Україна) has launched on Kyivstar in Ukraine!

Update (17/1/2020) - The Ukrainian regulator National Council has made three changes to the list of foreign TV channels allowed to be broadcast in the country. All such channels have to comply with the European Convention on Transfrontier Television and Ukrainian legislation.

The first change involves Nickelodeon, with the country of ownership of the channel (producer) now the Czech Republic rather than Netherlands. The language has also been changed from Russian to English and Russian, while the channel is now offered simultaneously in both HD and SD. The second change involves Nicktoons, which is registered in the Czech Republic. A 24/7 channel broadcast in Russian, it has been added to the list.

The third change is Russia’s Tele 9, which ceased transmissions in February 2013 and has been removed from the list.

The news follows VIMN launching a localised Nicktoons channel in Russia in December 2018. VIMN has also submitted plans to launch a Paramount Pictures movie channel in the country.

Update (2/3/2020) - Karisma Hotels & Resorts' has confirmed plans to open a Nickelodeon Hotels & Resorts resort in Cartagena, Colombia!

Update (14/6/2019) - According to EL UNIVERSAL, Karisma Hotels & Resorts' plans to open a Nickelodeon Hotels & Resorts resort in Cartagena, Colombia haven't been finalised yet, however, they are still interested in opening a Nick-branded resort in the North of Cartagena!

Update (6/10/2019) - Karisma Hotels & Resorts hope to have the financial arrangements for Nickelodeon Hotels & Resorts Cartagena in place in 2020!

Update (10/12/2019) - Rafael Feliz, chairman and CEO of Karisma Hotels & Resorts has revealed to TravelPulse the Nickelodeon Hotels & Resorts brand’s Latin America debut could be either Brazil or Colombia. In Colombia, Feliz told TravelPulse to expect a Nickelodeon near Cartagena. He said the Brazil location will be near Rio de Janeiro!

The news follows the successful opening of Nickelodeon Hotels & Resorts Punta Cana in the Dominican Republic, Karisma and Viacom International Media Networks' (VIMN) first Nickelodeon Hotels & Resorts resort, which opened to critical acclaim this summer, and boasts a life-sized replica of SpongeBob's Pineapple home which guests can vacation in.

Nickelodeon Hotels & Resorts Cartagena will be Nickelodeon Hotels & Resorts' first destination in Central and South America, and will be home to the new family brand's first hotel outside of the Caribbean and Mexico. Feliz told Travel Agent Central that the property is expected to open roughly three years from now (2019/2020).

In 2015, Feliz and Lubo Krstajic, the company’s Executive Vice President of Sales and Marketing, told Travel Agent the plan was to expand Nickelodeon Hotels to Central and South America with destinations such as Brazil; Cartagena, Colombia; and Panama being heavily discussed. With Cartagena now confirmed, it is quite possible that either Brazil or Panama could be Nickelodeon's second destination in Latin America.

¿Cuáles son las metas para 2020?

Desde el punto de vista de nuevos hoteles, esperamos la apertura del Margaritaville Island Reserve en Riviera Cancún y de Nickelodeon Riviera Maya. Tendremos también, entre 2020 y 2021, la apertura de otros dos hoteles Margaritaville, uno en Riviera Maya y otro en Jamaica; todos ellos operando bajo nuestro galardonado concepto Gourmet Inclusive. Y desde el punto de vista del compromiso con el medio ambiente, continuaremos con la implementación de nuestros planes de sostenibilidad. Ya hemos ejecutado la sustitución de botellas plásticas de un único uso en nuestros hoteles de México, acción que también tendremos implementada en Colombia para el primer trimestre del 2020.

Después vendrá el Nickelodeon Riviera Maya, México, un resort con 280 habitaciones dentro de las que se incluyen suites temáticas, como la de Bob Esponja, la de Las Tortugas Ninja y otros personajes de este canal; el hotel debe estar en funcionamiento en diciembre del 2020 y contaremos con el parque de agua más grande de la Riviera Maya.

¿Cuánto invirtieron en este nuevo proyecto?

En el proyecto Margaritaville Island Reserve, que tiene 148 habitaciones, Karisma invirtió cerca de US$10 millones en la remodelación de uno de nuestros hoteles ya existentes. En relación con Nickelodeon, como cadena hotelera nosotros somos los expertos en la conceptualización del hotel, así como en el diseño de las experiencias culinarias y de entretenimiento para nuestros huéspedes, las inversiones son realizadas por nuestros socios de negocios e inversionistas, quienes controlan los montos de inversión.

¿Y hay nuevos planes de expansión en Colombia?

Siempre, si bien las aperturas que tenemos más próximas están en México, Jamaica y en República Dominicana, estamos fuertemente concentrados en que Colombia y Brasil sean los próximos países que Nickelodeon llame su hogar.

Hoteles que son una atracción familiar

Hay dos hoteles de Nickelodeon. Actualmente uno está en operación en Punta Cana en República Dominicana con 208 habitaciones y otro en proceso de construcción en la Riviera Maya. Son resorts Gourmet Inclusive, donde se logra un equilibrio entre el entretenimiento para niños y la indulgencia, y el lujo para sus papás. Para niños, tiene experiencias inspiradas en el canal, desayunos con los personajes (Bob Esponja, Paw Patrol, Dora La Exploradora y Las Tortugas Ninja), Slime Time, espacios de fotos con los personajes, Club de niños y un parque de agua.

Karisma llevará la marca Nickelodeon a Cartagena

La cadena hotelera Karisma estaría en proceso de estructuración del primer Nickelodeon en Cartagena, Colombia, y esperan que esté incluido en el cierre financiero de 2020. Igualmente, buscan abrir otro hotel de la misma marca en Brasil. Próximamente tendrán la apertura del Margaritaville Island Reserve en Riviera Cancún y el Nickelodeon Riviera Maya.

“Actualmente, estamos en el proceso de estructuración del primer Nickelodeon Resort que habría en Colombia. Sería en Cartagena y esperamos tener cierre financiero del proyecto en 2020. Como informó REPORTUR.co, Karisma Hotels en Colombia desde 2018 planea traer la marca Nickelodeon, luego de México y Brasil. Además la hotelera quiere desarrollar la marca Irotama fuera Santa Marta, en destinos como Cartagena, Eje Cafetero y la Sabana de Bogotá. Igualmente, proyecta incursionar en el mercado corporativo del país, así lo anunciaba la marca en su momento. (Karisma Hotels planea traer la marca Nickelodeon a Colombia).

“Queremos traer el segundo Nickelodeon para la región en Brasil, – luego del mencionado en México- y esperamos que, en el primer trimestre del próximo año, tengamos algo ya más definido para tener programas de construcción específicos con fechas. El tercer Nickelodeon queremos que sea en Colombia y estamos buscando alternativas de dónde podría ser”, indicó Jaramillo en su momento.

Dentro de los proyectos que tiene de expansión Karisma Hotels & Resorts en América Latina, a uno le podrían dar prioridad y se empezaría a desarrollar en los próximos años.

Se trata de un nuevo hotel, construido desde cero, de la franquicia del famoso canal de televisión infantil y juvenil, el cual sería el primero en su formato en Suramérica, y tendría como sede la ciudad de Cartagena.

Así lo anunciaron las directivas de Karisma Hotels & Resorts que se encuentran participando en la Vitrina Turística Anato que se realiza hasta este viernes en Bogotá.

Esta cadena hotelera que opera más de 30 hoteles en distintas partes del mundo y cumple 20 años de desarrollo, ya cuenta con un primer hotel Nickelodeon que se encuentra en Punta Cana, República Dominicana y en pocos meses espera tener listo uno más en la Riviera Maya en México y que supera las 380 habitaciones.

Sus creadores aclaran que si bien es un hotel de temática infantil, está diseñado para que pueda ser disfrutado por toda la familia, con las atracciones que tienen que ver directamente con los personajes principales del canal, como Bob Esponja, Dora La Exploradora y las Tortugas Ninja, pero a la vez, con espacios como el spa y zonas de relajamiento para los más adultos.

Son hoteles de grandes dimensiones que mueven un alto número de huéspedes diarios, bajo el concepto gourmet-all inclusive, que han desarrollado con gran éxito en sus hoteles en México y República Dominicana pero que aún no logran realizar en Colombia.

A finales de 2018 realizaron un primer intento con una unión con Irotama en Santa Marta. El ambicioso proyecto incluía convertir a dicho hotel al concepto de gourmet-all inclusive, que consiste en un ‘todo incluido’ pero con restaurantes de alto nivel y atención personalizada para los huéspedes. Además, Karisma ayudaría para que Irotama se convirtiera en una marca para desarrollar otros proyectos hoteleros, tanto dentro como fuera del país.

Sin embargo, la unión duró poco y a principios de 2019, de común acuerdo, terminaron con dicho convenio.

Aunque el interés de Karisma por desarrollar pronto el Hotel Nickelodeon Cartagena es muy fuerte, también planean realizar uno igual en una de las regiones de Brasil. Solo bastaría ver cual de las dos ideas primero se empieza a desarrollar.

Cartagena es una ciudad que conocen bien. Allí operan hoteles como Allure Chocolat by Karisma, ubicado en el corazón de la ciudad y a solo unos pasos del centro de convenciones.

Nickelodeon Hotels & Resorts Is Heading to Colombia

A report in Reportur says that Karisma Hotels & Resorts is planning a new outpost of the popular, family-friendly brand in Cartagena. It will be the third property for the brand and the first in South America.

Nickelodeon’s second property will open this year in the Riviera Maya. It will have 350 guestrooms designed for families and multigenerational groups.

The resort chain is known as much for providing younger guests the chance to interact with their favorite television characters as it is for its high-end family experience.

Guests will be wowed by five-star accommodations, food and amenities as well as by character breakfasts and Nickelodeon-themed attractions that include SpongeBob Squarepants and Dora the Explorer.

Few details are known about the Cartagena location of the hotel; however, the Riviera Maya property will feature Gourmet Inclusive eateries, themed accommodations and one of the area’s largest waterparks.

Voices at Viacom: "Diversity and Inclusion is About All of Us"

VOICES AT VIACOM: “DIVERSITY AND INCLUSION IS ABOUT ALL OF US”

Wincie Knight, senior director of global inclusion strategies for Viacom, on championing a sense of belonging.


In the Soundbites series, Viacom employees describe a project or experience that has influenced how they approach their work.

It’s rare that Wincie Knight can make it through a conversation without mentioning the importance of inclusion in her workplace.

Knight, senior director of global inclusion strategies, has worked at Viacom for a very long time, she says. She began at Nickelodeon, later worked in production, and ultimately received her master’s degree in organizational behavior. That led into her current role in London five years ago, when she joined the Viacom team dedicated to making an inclusive and accepting workplace.

“The OGI is really important to the business, because I believe it gives a real insight into demographics, pockets of people, that may not necessarily be at the top table,” Knight explains.

On Sept. 27, the Viacom UK office wrapped its second Inclusion Week, with a slate of panels and events helping employees feel like they belong. Last year’s events were such a success that the company brought Inclusion Week to its U.S. offices earlier in the month.

“The Office of Global Inclusion came to the UK last year to really help spread the word of inclusion and champion inclusion within the business,” Knight explains. “I think with the great inspiring schedule that we had in the UK last year, it was only right to roll that out over in the U.S., to inspire our colleagues across the pond.”

Here’s Knight on why OGI is an important part of Viacom’s business and an integral part of any organization:

Nicole Bitette: What is the purpose of OGI and why is it important for Viacom?

Wincie Knight: The acronym stands for Office of Global Inclusion, and I believe the OGI is here to champion difference. It’s to enrich the mix, it’s to make employees feel like they belong. We do this through a range of ways. One of the best ways I can say is through our employee resource groups. It’s a way of giving a voice to minority groups which helps make the business smarter.

NB: How do you describe what you do to your friends and family?

WK: I really just say I champion equality for the business, and anyone that knows me the conversation will always steer towards diversity and inclusion. I don’t know how I manage to do it, but I always get into a conversation regarding diversity and inclusion. So, I live and breathe my job.

NB: Diversity and inclusion are two buzzwords right now, but how do you define them?

WK: Diversity just means a range of different people. That’s simply what that means. I think the concentration really should be on inclusion, because inclusion is about making loads of different people feel like they fit in, like they’re treated equally. I think that the next word, really, that we should be focusing on is belonging. So, making sure that people feel, that here in our organization, and they’re included and they feel like they belong.

NB: What is UK Inclusion Week?

WK: In the UK, we have National Inclusion Week, which is always the last week of September. Last year, we ran a great Inclusion Week that struck the line of, “Be You. Belong.” This year, the line, again, is, “Be You. Belong,” because I believe it’s really important to build on the foundation of what we’ve already worked on, because lots of diversity inclusion initiatives start and they don’t follow on. So we’re following on that same theme.

It’s all about allyship, helping everyone understand that we all have the ability to make others feel like they belong. If we all concentrate on that, we create an inclusive environment.

“Be You. Belong” is really powerful, because sometimes people believe that diversity inclusion is only for a minority group, and I think the strap line of “Be You. Belong” really showcases that diversity and inclusion is about all of us. We are all different, and I’m sure that we all want to be included.

NB: What inspires you about your role?

WK: It’s great to work for an organization that champions diversity and has a great understanding that diversity inclusion is critical to our business. For us to be successful, we need to have different people within the organization, because for our audience, we need to reflect society within our own organization to be successful in creating content that people want to see.

Viacom Partners with Okko in Russia

Viacom International Media Networks (VIMN) has reached a distribution agreement with Russian online streaming platform, Okko. As part of the deal, Viacom’s kids’ content is now available to Okko’s subscribers for the first time, giving them Video on Demand (VoD) access to a raft of popular Nickelodeon and Nick Jr. content.


Popular shows set to debut on the platform will include PAW Patrol, The Loud House, Dora the Explorer, Shimmer and Shine and Blaze and the Monster Machines.

Elena Balmont, Senior Vice President (SVP) and Chief Executive Officer (CEO) of Viacom International Media Networks in Russia, Georgia, Ukraine, Baltic States and CIS said: “We are really excited to collaborate with Okko, which are one of the leading OTT platforms in Russia. The deal will bring our most popular Nickelodeon and Nick Jr. shows to millions of subscribers across the region, not only via their televisions but also through their mobile devices and consoles.”

Viacom Launches Nicktoons Channel in the Czech Republic

Viacom International Media Networks (VIMN) is strengthening its portfolio in the Central and Eastern Europe (CEE) region with the launch of a localised Nicktoons channel in the Czech Republic! Launching on Wednesday 30th October 2019, Nicktoons Czech Republic (Česká republika) will broadcast 24/7 and is a sub-feed Nicktoons Central and Eastern Europe (CEE), which launched in April 2019, with a localised Czech language track. The channel brings viewers the most popular animated series and exclusive new animated shows produced by Nickelodeon, one of the most popular children's channels in the Czech Republic.

Update (1/2/2020) - NickToons CZ today, Saturday 1st February 2020, started to air localised Czech ads instead of fillers (short-form content)!

Update (4/2/2020) - Unlike Nicktoons MENA and Nicktoons Ukraine/Kazakhstan, which have Czech broadcast licence, Nicktoons CEE's Czech sub-feed has a Dutch license.

Nicktoons is currently only available on UPC Czech Republic (including the Horizon Go internet service), but is expected to launch on additional platforms in the future. The channel is currently broadcasting in 720x576p resolution and 2.5 Mbps. All shows, trailers and jingles are already broadcast in Czech, but ads are currently missing.

French OTT platform Molotov has announced that it is partnering with Viacom International Media Networks (VIMN) France to add VIMN's bouquet of top-tier channels to the service!


The nine VIMN channels joining the Molotov line-up are:

Singapore’s Infocomm Media Development Authority is teaming with Viacom International Media Networks (VIMN) and Asian streamer Hooq to fund and develop local content for distribution in Southeast Asia and India.

Both partnerships are under the aegis of the Capabilities Partnership Programme that is part of the IMDA’s ‘Made With Singapore’ initiative.

VIMN is seeking to increase its Asia-Pacific presence by collaborating with local media companies to produce digital content. The company has expressed interest to board IMDA’s Story Lab Apprenticeship Programme that will provide newly-qualified media professionals opportunities to acquire practical skills. Selected participants will go benefit from a 12-month training programme.

The Hooq collaboration will see the IMDA co-fund Singapore-driven stories produced under the Hooq Originals banner that have the potential to resonate with a wider audience in the region.

The IMDA-Hooq collaboration will see scripts from three ‘WritersLab: Script to Screen’ participants produced as pilots, that will also give the opportunity for local Singaporean production talent to hone their skills. The writing participants will benefit from masterclasses from Hooq executives and their industry partners.

In an era where streamers are reluctant to provide viewership data, Hooq will provide writers with this information from the platform. The idea is to allow them to understand how data can be used to make creative and business decisions.

The content emerging from this partnership will be available on Hooq from mid-2020.

Award-winning Singaporean filmmaker Anthony Chen’s Wet Season that opened the recently concluded Singapore International Film Festival and is currently in local cinemas, was produced in association with Hooq. The company recently inked a three-year, first-look and co-production deal with Chen. Mouly Surya’s 2018 film Marlina The Murderer In Four Acts, a Hooq co-production, was Indonesia’s entry in the erstwhile foreign language category. The company’s recent credits also include another Indonesian film, Guntur Soeharjanto’s Belok Kanan Barcelona, Indian series Bhak, and Malaysian series Babi!.

VIMN, a unit of Viacom Inc. Is composed of several global brands including Nickelodeon, MTV and Comedy Central.

Hooq is a joint venture between Singtel, Sony Pictures Television and Warner Bros, and currently operates in the Philippines, Thailand, India, Indonesia and Singapore.

NEW YORK — Nov. 25, 2019 — CBS Corporation (NYSE: CBS.A, CBS) and Viacom Inc. (Nasdaq: VIAB, VIA) today announced that their pending merger is currently expected to close after market hours on Wednesday, December 4th. Immediately following the closing, the combined company will be renamed “ViacomCBS Inc.” (“ViacomCBS”), and it is expected to begin trading on the Nasdaq Global Select Market (“Nasdaq”) on Thursday, December 5th under the new ticker symbols “VIACA” and “VIAC”.

As part of the listing, ViacomCBS will also become eligible for future inclusion in the Nasdaq 100 index.

Following the merger, with CBS continuing as the surviving company, CBS will delist its Class A and Class B common stock from the NYSE and will list the Class A and Class B common stock of the combined company, including the outstanding shares of CBS Class A and Class B common stock (which will remain outstanding shares of ViacomCBS), on the Nasdaq Global Select Market (“Nasdaq”). Trading of the Class A and Class B common stock of ViacomCBS on Nasdaq under the new ticker symbols “VIACA” and “VIAC,” respectively, is expected to commence on the trading day following the effective time of the merger. Viacom, CBS Set Date to Close Merger

CBS Corp. and Viacom said they will close their recombination, creating ViacomCBS, after the market close Dec. 4. The combined company's stock will start trading Thursday, Dec. 5.

The companies this summer unveiled the latest entertainment industry mega-deal, which comes 14 years after Sumner Redstone split his entertainment empire in two with the idea of having two focused companies. The Redstone family will continue to control the combined firm.

Management previously said the merger would close in early December, with Shari Redstone recently saying it would be at the "very beginning" of the month.

Viacom CEO Bob Bakish will lead the merged ViacomCBS as president and CEO, while CBS Corp. acting chief Joe Ianniello will become chairman and CEO of the CBS branded assets. CBS CFO Christina Spade will serve as CFO of the merged firm, and Shari Redstone, vice chair of both companies, will serve as chair of the combined entity.

ViacomCBS will own the Paramount Pictures studio, the CBS broadcast network, such cable network brands as MTV, BET, Nickelodeon, Comedy Central and the Paramount Network, as well as such streaming services as CBS All Access, Showtime OTT and Pluto TV. It will have a library of 3,600 film titles and 140,000 TV episodes.

ViacomCBS will also boast a 22 percent share of the U.S. television audience, larger than Comcast, Disney, Fox Corp., Discovery or WarnerMedia.

The stocks of both Viacom and CBS have been trading lower since the merger was first announced as analysts and investors have questioned how much the merged company can thrive beyond the initial phase of cost reductions. "The skepticism is very motivating," Shari Redstone recently said. "We need to prove to the market that we can execute on what our strategy is."

CBS ordered to disclose internal records on Viacom deal

(Reuters) - A Delaware judge on Monday ordered broadcaster CBS Corp to turn over records regarding its plan to reunite with Viacom Inc to a shareholder who wants to investigate if the deal unfairly benefits Shari Redstone, who controls both companies.

The deal is scheduled to close on Dec. 4, combining CBS television network, CBS News, Showtime cable networks with MTV Networks, Nickelodeon, Comedy Central and the Paramount movie studios.

The judge, Joseph Slights of Delaware’s Court of Chancery, ordered CBS to turn over materials the CBS board discussed when considering the merger with Viacom, which was split from CBS 13 years ago.

The company was also ordered to provide documents regarding the nomination and appointment of board members to the special committee that approved the merger earlier this year, as well as some communications between Redstone and the board.

CBS declined to comment and Viacom did not immediately respond to a request for comment.

Shareholders were not given the opportunity to vote on the deal, which follows two recent failed attempts to merge the companies that are both controlled by National Amusements Inc, the holding company of Sumner Redstone and his daughter Shari.

Larry Hamermesh, a professor at Delaware Law School in Wilmington, said the shareholder is likely to seek damages after the merger closes, rather than trying to block a deal that is closing soon.

Also on Monday, a Viacom shareholder, Louis Wilen, filed a proposed class action lawsuit against the board of Viacom in the same court. The complaint was filed under seal and no details beyond the parties’ names were disclosed.

Shari Redstone’s 2018 proposed merger with Viacom was rejected by the CBS board, a battle that pitted her against Les Moonves, who said the deal was harmful to CBS shareholders.

Moonves was ousted as chief executive officer in September 2018, and National Amusements settled the litigation with an agreement not to seek a merger of the companies for at least two years.

Slights also ordered records from the earlier merger attempts to be turned over to the shareholder, Bucks County Employees Retirement Fund.

Slights found evidence that the deal may bail out Redstone’s stake in Viacom and that Redstone may have violated the 2018 agreement.

Slights did reject some of the requests for information. The judge declined to order the production of documents to determine the independence of CBS directors and refused to order CBS to turn over expert reports from the litigation over the proposed 2018 merger.

CBS-Viacom merger leads to big payouts for top execs

The merger of Viacom and CBS is shaping up to be lucrative for its top two execs.

Acting CBS Chief Executive Joe Ianniello, who will be chairman and CEO of CBS at the combined firm, will bank a hefty payout of $70 million when the deal closes. That payout is tied to a provision in his old CBS contract that entitled him to a lump sum if he wasn’t named CEO of ViacomCBS.

Viacom CEO Bob Bakish, who will grab the reins as president and CEO of the combined ViacomCBS, will see his total compensation jump 55 percent to about $31 million a year, according to an SEC filing.

Last week, Viacom and CBS, to reunite under National Amusements, the holding company of the incapacitated media mogul Sumner Redstone. The $27 billion deal brings together Viacom’s cable channels Nickelodeon, MTV, Comedy Central and movie studio Paramount Pictures, with CBS’ broadcast network and cable channel Showtime.

The deal is expected to close by year’s end. As reported by The Post, it could close within the next three months, given that National Amusements Inc., which owns an 80% stake in both companies, has the power to fast-track the deal’s closing if it doesn’t meet regulatory opposition.

Bakish, whose new contract ends four years after the deal closes, will see his salary rise 3% to $3.1 million,

The CEO is eligible for a $12.4 million bonus, up 77%, as well as a $16 million incentive package, up about 60%.

Bakish will also nab a one-time stock grant of ViacomCBS shares worth $5 million.

Viacom and CBS reunite in $12 billion deal, but challenges abound

Long known as the squabbling siblings of media, CBS Corp. and Viacom Inc. are poised to finally reunite after 13 years apart.

The much-anticipated corporate union, which will be called ViacomCBS Inc., is set to conclude Wednesday after the markets close. The Viacom name gets top billing even though CBS is more valuable.

The merger culminates a three-year campaign by Shari Redstone — daughter of the ailing mogul Sumner Redstone — who out-maneuvered her father’s long-time lieutenants to merge the New York-based media companies.

“This merger was born out of necessity,” said Peter Csathy, chairman of CREATV, an Orange County advisory firm. “It is no mystery that scale is what everyone has been looking for in this fundamentally changing media space.”

Shares in the reconstituted company, which will be valued at about $25 billion, will begin trading Thursday on the Nasdaq market under ticker symbols, VIAC and VIACA.

The all-stock transaction is worth nearly $12 billion, which was the market capitalization of Viacom, the media company that owns MTV, Comedy Central, Nickelodeon, BET and Paramount Pictures, the movie studio known for “Top Gun” and the “Transformers” franchises.

CBS and Viacom stock have each dropped about 20% since the merger was announced in August. CBS closed Tuesday down 1.3%, or 52 cents, to $39.34. Viacom closed down 1.22%, or 29 cents, to $23.47.

Investors are concerned that ViacomCBS has too much exposure in traditional businesses, including TV advertising and cable channels, which have been pummeled by cord-cutting. While CBS has moved into streaming, its offerings have been less ambitious than those launched by rivals.

The merger is latest in the wave of media consolidations. Last year, telecommunications colossus AT&T acquired HBO, CNN, TBS and the Warner Bros. studio in an $85-billion deal. In March, Disney completed a $71.3-billion acquisition of much of Rupert Murdoch’s Hollywood holdings, including 20th Century Fox film and television studios.

CBS and Viacom suddenly found themselves medium-sized players. Both were weakened by years of boardroom battles, costly lawsuits, and management woes.

The company must quickly bring together two starkly different corporate cultures and increase revenue to retain such expensive properties as CBS’ partnership with the NFL. Corporate leaders also must decide whether to push more aggressively into streaming or become a larger content supplier to Netflix and others.

“The company’s digital strategy is trying to strike a tricky balance between licensing revenues, growing its own streaming services and not cannibalizing its legacy revenue,” Barclays Capital media analyst Kannan Venkateshwar wrote in a recent report.

Viacom made its debut as a public company in 1971 when it was spun off from CBS after the Federal Communications Commission ruled that the three television networks could not syndicate their own programming.

The two companies merged in 2000, but six years later, Sumner Redstone separated them again, amid fears that CBS would drag down Viacom, which then was the faster growing company. But within a decade, roles had reversed and it was venerable CBS that had more clout.

Viacom Chief Executive Bob Bakish becomes president and chief executive of the new entity, and he will have a seat on the board.

CBS’ acting CEO, Joseph Ianiello is in line to collect $100 million in severance, including $79 million cash, at the deal’s close. Ianniello received a new 15-month contract, entitling him to tens of millions of dollars more.

Shari Redstone first attempted to facilitate the merger in 2016, but retreated. She tried again in 2018 but was rebuffed by then-CBS chief Leslie Moonves. He was forced out a year ago amid a sexual harassment scandal and the boards of two companies eventually concluded they needed to bulk up.

Though it will be smaller than its rivals — Disney’s market value is $268 billion — ViacomCBS will be one the largest players in TV advertising, capturing an estimated 20% of viewership to traditional television outlets. It also will spend more than $13 billion a year to produce content with plans to increase its profile in video streaming space with CBS All Access, digital news channel CBSN, Showtime and Pluto TV.

The company’s library is stocked with more than 140,000 television episodes, including lucrative children’s franchises including “SpongeBob SquarePants,” and more than 3,600 movie titles.

It will also have international exposure with networks in Britain, Australia and Argentina. CBS’ premium channel, Showtime, once again will have access to movies from Paramount Pictures’ deep library.

The merger was approved by the Redstone family and ratified by the boards of both companies.

Does ViacomCBS Need to Slim Down to Scale Up?

Mogul Shari Redstone must convince Wall Street that ViacomCBS' sprawling set of assets will deliver the profits needed to keep pace with entertainment giants.

As the two companies prepare to recombine, some Wall Street skeptics hope the mogul will sell "non-core" assets (like book publishing, real estate or even a TV channel) to better position the firm for investors.
After Jeff Bewkes was made CEO of Time Warner in 2007, he sold off AOL, Time Warner Cable and even corporate namesake Time Inc. to focus the firm's energies on the creation and distribution of film and TV content (and aggressively position it for an eventual sale to AT&T). Rupert Murdoch, for decades an acquirer, sold most of 21st Century Fox to Disney this year for $71.3 billion to concentrate on live sports and news with Fox Corp.

Now, as ViacomCBS officially forms (expected on Dec. 4), Wall Street analysts and insiders are predicting that controlling shareholder Shari Redstone, CEO Bob Bakish and president and acting CBS CEO Joseph Ianniello are pondering a similar strategy — call it slimming down to scale up.

To be sure, investors are clamoring for something of significance, given shares of both CBS and Viacom have sunk steadily, wiping roughly $10 billion off the combined firm's market cap since they revealed Aug. 13 that they would merge. Bakish's pronouncement of a minimum $500 million in cost synergies within two years just isn't cutting it.

Indeed, there are assets that stick out as divestiture possibilities, such as book publisher Simon & Schuster and Watch! magazine. At CBS, where Simon & Schuster resides, overall revenue rose 6 percent in 2018 to $14.5 billion, but its publishing segment saw a slight decline to $825 million.

"It wouldn't perhaps be far-fetched to think of the book publishing business as a non-core asset for potential divestiture for ViacomCBS," says CFRA Research analyst Tuna Amobi, noting that the division "has recently been a drag on CBS' overall results while also unlikely to play a meaningful strategic role in the direct-to-consumer transition for the combined company."

Beyond narrowing its focus to growth areas with potential — such as selling content to D-to-C streaming platforms like Netflix and investing in its own services, like CBS All Access — the company could use proceeds of asset sales to pay down its $17.4 billion debt. Divesting for a more narrow focus was already a strategy employed by former CBS CEO Leslie Moonves, who shed the billboard business in 2013 and radio three years later.

Just before he was forced out in September 2018, Moonves even sold CBS Television City in Los Angeles to Hackman Capital Partners for $750 million, and a source tells The Hollywood Reporter that the merged ViacomCBS will review its real estate portfolio, looking to cash in on a strong market. CBS, for example, considered selling its "Black Rock" skyscraper in Midtown Manhattan for $370 million in 2000, though it could fetch four times that today, based on square-foot averages.


Even Paramount Pictures was in play in 2016, but Viacom couldn't find a suitable buyer willing to pony up at least $10 billion for a hefty stake in the century-old movie studio. Now that CBS All Access, Showtime OTT and Pluto TV are in need of premium content, a sale of Paramount is unlikely, though some on Wall Street wouldn't mind if ViacomCBS sold off some slow-moving cable channels, such as MTV and VH1, even though they've seen some upticks in Nielsen ratings lately.

While Viacom has suggested that revenue synergies could eventually swell to $1.2 billion for the combined firm, Bernstein analyst Todd Juenger stated in a recent report, "We don't believe in the theory," further indicating a need to jettison underperforming assets. This fall, some analysts reduced their near-term growth prospects for ViacomCBS after a regulatory filing indicated that cash flow could fall below expectations amid the merged company's plans to spend at least $13 billion creating content annually for its various platforms.

"The company's management (and the new board) should move quickly to help erase the stench of this deal process by selling non-core assets and aggressively cutting costs," says MoffettNathanson analyst Michael Nathanson. Gimme Credit analyst Dave Novosel echoes, "Speculation is that the combined company may seek to sell non-core assets to reduce leverage."


Wall Street watchers have predicted savings will come from such corporate functions as legal, finance, human resources, government relations, communications and technology operations, so employees in those functions are at risk of losing their jobs. At stake are as many as 2,000 jobs, or 9 percent of the ViacomCBS total. Bakish has emphasized that the savings target would not include production and marketing costs amid intense competition for premium content in the streaming era.

On a November earnings conference call, Bakish laid out four key areas of revenue synergy opportunities: distribution, advertising, content licensing and streaming, and he touted a library of 140,000 TV episodes and 3,600 films. "This level of volume is sufficient to supply both our needs and third parties," he said.

And if ViacomCBS sells assets that don't fit with Bakish's four-pronged attack, it could then go on a buying spree. "We will continue to look at opportunities in the marketplace," Bakish said shortly after the deal was announced. Bankers and analysts speculate that the likes of Lionsgate/Starz and Discovery are future merger partners for ViacomCBS, or it will simply continue to purchase content franchises, as Viacom did in August with a deal for the Garfield property.

After all, Credit Suisse analyst Douglas Mitchelson opined in a report earlier this year: "Even a merged CBS-Viacom is still arguably quite sub-scale compared to the other streaming players."
