Combination creates a leading, global premium content powerhouse

NEW YORK--ViacomCBS Inc. (Nasdaq: VIACA, VIAC) (“ViacomCBS”) today announced the completion of the merger between CBS Corporation and Viacom Inc. The combined company, which is renamed ViacomCBS, creates a premium content powerhouse with global scale, including leadership positions in markets across the U.S., Europe, Latin America and Asia.

The company will account for 22% of TV viewership in the U.S. and hold the highest share of broadcast and cable viewing across key audience demographics, with strength in all categories, including News, Sports, General Entertainment, Pop Culture, Comedy, Music and Kids.

ViacomCBS Class A and Class B shares will begin trading on the Nasdaq Global Select Market on December 5, 2019 under the ticker symbols “VIACA” and “VIAC”, respectively.

As previously announced, as a result of the merger, each Viacom Class A share and Viacom Class B share converted into 0.59625 of a Class A share and Class B share of ViacomCBS, respectively. Holders of CBS Class A shares and CBS Class B shares will continue to own their existing shares, which are now shares of ViacomCBS.

ViacomCBS will have an attractive growth outlook, be positioned to deliver beneficial cost and revenue synergies and generate substantial free cash flow. ViacomCBS is born as merger finally closes

Amid question marks over how it will compete against media giants like Disney, Netflix and AT&T, the ViacomCBS merger finally closed on Wednesday (4) as the companies that Sumner Redstone split apart close to 14 years ago were reunited.

The new entity is valued at approximately $25bn and encompasses cable networks such as Showtime, Nickelodeon and MTV, Paramount Pictures, US broadcast networks CBS and the CW, as well Australia’s Network Ten, the UK’s Channel 5, Argentina’s Telefe, and a joint venture in India with that country’s TV18.

As Screen reported in August, ViacomCBS will house a streaming platform roster that includes CBS All Access, Showtime’s OTT offering, and ad-supported VOD service Pluto TV, which Viacom acquired for $340m earlier this year.

Despite Wall Street caution after shares in CBS and Viacom fell approximately 20% since the merger was announced in August, chair of the combined board Shari Redstone (pictured) remained understandably upbeat, telling reporters on Wednesday the new entity was scalable and would be a content leader. In past year the combined companies reportedly spent $13bn on content.

Bob Bakish is the new entity’s president and CEO, and Joe Ianniello becomes chairman and CEO of CBS.

Official trading of ViacomCBS begins on Thursday.

En relación a los desafíos, me siento honrado de tener la oportunidad de llevar el negocio de ViacomCBS Networks Américas al próximo nivel. Hace unos años iniciamos un proceso de innovación que derivó en una organización basada en tres verticales de negocio: tradicional, adyacente y emergente. El desafío es mantener nuestro negocio tradicional mientras incrementamos notablemente nuestros negocios emergentes y adyacentes.

Entre los principales retos podemos destacar el pronto lanzamiento de Pluto TV en Latinoamérica, así como la renovada versión de la aplicación infantil Noggin y la llegada de Paramount+ a los países restantes. Además, tendremos el lanzamiento de VidCon México en 2020, nuevos hoteles de MTV y Nickelodeon también en México, y nuevas licencias de productos de consumo.

¿Cuáles son las prioridades para el portfolio de networks?

Tenemos muchas novedades para el 2020. Desde Nickelodeon seguiremos con novedades en relación a los festejos por los 20 años de Bob Esponja, además de ofrecer nuevos contenidos tales como el icónico Blue’s Clues, el relanzamiento de la app para prescolares Noggin, nuevos productos de consumo de la influencer de Nickelodeon Latinoamérica, Bala, y nuevos contenidos digitales para las redes sociales de Nickelodeon.

Con MTV tendremos la octava edición de los Premios MTV MIAW en Ciudad de México y la tercera edición en São Paulo, además del estreno de la séptima temporada de Acapulco Shore, el reality que es un verdadero fenómeno en Latinoamérica.

En Comedy Central estrenaremos la segunda temporada de Backdoor, el éxito de Porta dos Fundos, la segunda temporada de Se rentan cuartos y la producción del VIS Ana, con Ana de la Reguera.

Y por último en Paramount Channel tendremos las series 19-2, Line of Duty, Atrapa a un ladrón que debutará en 2020, el gran regreso de Yellowstone en su segunda temporada, The Handmaid’s Tale en su cuarta temporada, Killing Eve con su tercera y la producción original R, realizada junto a Claro Video.

¿Cuáles son las “hojas de ruta” para Telefe en Argentina y Porta dos Fundos en Brasil?

Para Telefe el año 2020 es muy importante porque se festejan los 30 años del canal. Vamos a tener muchas celebraciones vinculadas a este aniversario y nuevos contenidos que presentaremos para generar un vínculo emocional con nuestra audiencia, tales como: El muro infernal, La Voz Argentina 2020, Trato hecho, Divina comida, Bake Off, MasterChef, Los internacionales –la serie premium del VIS con Telecom, Olympusat y The Mediapro Studio-, y muchas otras novedades vinculadas al entretenimiento, la ficción y las noticias. Además, tendremos la obra de teatro del súper exitoso show en Argentina Casados con hijos que ya vendió miles de tickets, solo en la primera semana.

Asimismo, trabajaremos con nuestro equipo de ventas para seguir ofreciendo las mejores soluciones avanzadas de marketing para nuestros socios comerciales y brindando nuestro know how y poder de producción para desarrollar aún más “branded content” con nuestros socios de negocio.

Con Porta seguiremos innovando con contenido de comedia divertido e irreverente. También tendremos la segunda temporada de Homens, el nuevo contenido original desarrollado para YouTube Premium El nuevo futuro ex actor de Porta, y una nueva temporada de Greg News para HBO, entre las principales novedades. Buscaremos además fortalecer la franquicia en México: Backdoor, y continuar el proceso de internacionalización de Porta en otros países. El éxito de Backdoor ya tiene casi 3 millones de suscriptores en México y eso nos impulsa a ir por más.

¿Cómo se prepara VIS para 2020?

Hemos tenido un excelente desempeño en 2019 y hemos crecido como estudio. Tenemos muchos productos en preparación y otros que están en búsqueda de partnerships. Estamos entusiasmados con la designación de Pier como número uno internacional del negocio, dado que será una pieza fundamental en la globalización del negocio del estudio, dándole aún más foco y por ende mayores producciones.

¿Qué proyectos de ficción propios de Viacom y para terceros, a través de alianzas estratégicas, ya están en desarrollo o confirmados en 2020?

Contamos con proyectos que se encuentran en diferentes estados de producción. Por mencionar algunos, contamos con R junto a Claro Video, la segunda temporada de Homens; y el nuevo thriller Los internacionales con The Mediapro Studio, Telecom y Olympusat para Telefe y Flow.

También estamos trabajando en los guiones para 38 estrellas, el último libro de la periodista Josefina Licitra sobre la fuga de 38 mujeres en una prisión de Uruguay; y Entre mi hijo, yo y la Luna, libro que el artista uruguayo Carlos Páez Vilaró escribió durante la búsqueda de su hijo tras la denominada “tragedia de los Andes”.

Además, estamos avanzando con las propuestas creativas que cerramos con los reconocidos directores Juan José Campanella y Santiago Segura; y esperamos poder concretar nuevos acuerdos de first-look deal con figuras de este nivel para seguir ofreciendo grandes historias a nuestras múltiples audiencias.

¿Habrá nuevas series originales de la librería de Paramount iniciada con la serie Atrapa a un ladrón?

Estamos muy contentos con los resultados de Atrapa a un ladrón, y por eso hemos iniciado conversaciones con los estudios Paramount, para descubrir nuevas propiedades que podamos producir en formato serie.

¿Qué tal ha sido el lanzamiento de Pluto TV en EEUU hispano?

Estamos muy contentos con los resultados del lanzamiento en EEUU. Pluto TV Latino debutó en octubre de este año con 11 canales y 2.000 horas de contenido en español y portugués. Y hoy ya cuenta con más más de 150 canales de todos los géneros, en asociación con las principales señales de televisión, estudios de cine, generadores de contenido y compañías de medios digitales, que eligen Pluto TV como un socio para difundir su contenido. Además, luego del lanzamiento Pluto TV expandió su espacio de distribución a las plataformas Comcast y Cox.

¿Qué expectativas hay para el lanzamiento en América Latina? ¿Ya hay fecha confirmada?

Pluto TV comenzará a operar en México, Argentina y Colombia en el primer semestre de 2020, mientras que en Brasil estará debutando hacia fines de ese año. Para nosotros representa una gran oportunidad de ofrecer una nueva manera de visualizar contenido premium y variado de manera gratuita, al mismo tiempo que le ofrecemos un servicio de valor agregado a nuestros operadores de cable y video. Estamos realmente muy entusiasmados con la llegada de Pluto TV en América Latina.

¿Qué tal ha sido la performance a la fecha de Paramount+?

Si bien aún no está disponible Paramount+ en toda la región, hemos obtenido grandes resultados en aquellos países donde ya lanzamos el servicio, como México y Brasil. Cerramos el año con miles de nuevos suscriptores. Además, hemos concretado alianzas con socios claves, como Amazon México, Net Brasil y Claro Video Panregional. ¡Se viene un año con muchas novedades de Paramount+ en la región!

¿Cómo observa la industria global con las consolidaciones y los últimos lanzamientos de servicios de streaming?

Sin dudas las nuevas alternativas de consumo están modificando la industria y la forma de consumo. El escenario es cada vez más competitivo y más exigente. ViacomCBS Consumer Products Taps Venetia Davie as New VP, UK & Ireland

ViacomCBS Consumer Products has today, Thursday 19th December 2019, announced that Venetia Davie will join the company as Vice President (VP), UK and Ireland.

Venetia (pictured) will start her new role in January 2020, reporting to Mark Kingston, Senior Vice President (SVP) International VCP.

She will lead VCP’s UK and Ireland business, managing the London-based team and overseeing local relationships with key VCP partners.

In addition, Venetia will be responsible for both developing promotional partnerships and leading local VCP retail sales and marketing divisions across the two markets.

“Venetia has extensive experience across a range of branded consumer products businesses, and a proven track record of transforming and expanding key properties in markets around the world,” commented Mark. “She will play a pivotal role in developing and implementing a consumer products strategy for our growing business in the UK and Ireland.”

Venetia previously held several senior roles at media company, DC Thomson. She most recently led DC Thomson’s acquisition of children’s toy and gifting company, Petit Collage and was named Managing Director (MD) of the company in 2017.

She also served in leadership positions at DC Thomson’s other brands – Wild & Wolf and Parragon Books. Her roles at Parragon spanned children’s and licensed publishing, global new business development, international sales and gifting. In addition, Venetia previously held senior publishing roles at Mattel (VP of global publishing) and Harper Collins (licensed publishing director).

2020 is shaping up to be a busy year for VCP, with a number of big cinematic releases alongside its franchises. In January, preschool property PAW Patrol will expand further with PAW Patrol: Ready, Race, Rescue following on from the success of Mighty Pups in 2018.

Meanwhile, SpongeBob SquarePants’ "Best Year Ever" 20th anniversary celebrations will continue with the release of The SpongeBob Movie: Sponge On The Run in May, followed up with the eagerly awaited Top Gun: Maverick in July.

Following the announcement in August that Viacom and CBS were to merge into one company, several announcements have been made regarding the merged company’s leadership team. Pam Kaufman will serve as president of global consumer products, while Brian Robbins will serve as president of kids and family entertainment for ViacomCBS Domestic Media Networks, overseeing the company’s kids and young adult-focused offerings, including Nickelodeon and AwesomenessTV.

Additionally, Viacom International Media Networks (VIMN), the international arm of Viacom, has been renamed ViacomCBS Networks.
