Shari Redstone Ends Talks On Skydance Offer for Paramount Global

The mogul had been reviewing the offer from the consortium led by Skydance and RedBird Capital.

No deal. Shari Redstone has ended talks on the latest offer for Paramount Global from the consortium led by Skydance and RedBird Capital, placing the future of the entertainment company into a fresh period of uncertainty, a source has confirmed to The Hollywood Reporter.

A spokesperson for the Redstone-run National Amusements, which controls Paramount, stated that the company “announced that they have not been able to reach mutually acceptable terms regarding the potential transaction with Skydance Media for the acquisition of a controlling stake in NAI.”

The statement added that, “NAI supports the recently announced strategic plan being executed by Paramount’s Office of the CEO as well as their ongoing work and that of the Company’s Board of Directors to continue to explore opportunities to drive value creation for all Paramount shareholders.”

Paramount Global’s special committee of the board of directors also weighed in and noted that it “did not vote on any potential transaction” on Tuesday, June 11.

“The Special Committee met on Tuesday to discuss progress of discussions regarding a potential transaction with Skydance Media. At that time, the Special Committee was informed by a representative of National Amusements, Inc. that it did not have an agreement on a deal with Skydance Media and didn’t anticipate a path forward on this transaction. The Special Committee did not vote on any potential transaction,” the committee stated.

Redstone is now looking to sell NAI alone to another potential suitor, The Wall Street Journal reported on Tuesday. But the Skydance team — which submitted its best and final offer in April — has long been betting that other suitors will eventually drop out.

Skydance had secured approval from Paramount’s independent board committee, in a sweetened deal that would see Paramount’s non-voting shareholders have the option to cash out at $15 per share. It would also have seen Skydance acquire Redstone’s National Amusements for about $2 billion.

National Amusements is a regional movie theater chain, however Sumner Redstone turned it into a media behemoth by acquiring Viacom, Paramount and CBS. National Amusements only owns about 10 percent of Paramount’s equity, but it controls about 80 percent of its voting stock, giving it control of the entertainment firm.

Shari Redstone has run the company since her father’s death in 2020.

Paramount’s future has been the focus of intense speculation in recent months, with its streaming business still hemorrhaging cash, its linear TV business in continued decline, and with its credit rating on the ropes.

In addition to Skydance, Apollo and Sony have kicked the tires of the company, which ousted its CEO Bob Bakish in April, replacing him with a trio of executives in the “office of the CEO.”

Those three executives, Brian Robbins, George Cheeks and Chris McCarthy outlined their own “shared vision” for the company. That would include further cost cutting, the divestment of non-core assets and seeking potential partners in streaming.

National Amusements, too, has faced challenges. The company took a $125 million strategic investment in May from BDT & MSD Partners, with the proceeds paying down debt and paying back loans.

With the Skydance deal dead, it seems increasingly likely that it will lean into its leadership for now, unless and until a better deal is able to cross the finish line.

On Monday, the company revealed that the three co-CEOs would be eligible for enhanced severance if the company is ultimately sold.

Paramount Lays Off UK-Based Kids Execs Chris Rose, Adam Bailey and Jordan Elson In Latest Round of Staff Cuts

The animation and production & development teams for Nickelodeon International have been hit hard by staff cuts, but there’s still a new project in the works.

Paramount International kids & family executives Chris Rose (pictured, Vice President of production & development) and Adam Bailey (director of animation) have just been laid off from the UK-based team  under parent company Paramount Global’s round of lay-offs, with Jordan Elson (manager of production & development) set to leave at the end of the summer.

The company’s production & development unit for Nickelodeon has made series including Sharkdog, The Twisted Timeline of Sammy & Raj and Rock Island Mysteries, and Rose referenced another project in the works but still under wraps in a LinkedIn post confirming the cuts. 

These execs are among 800 Paramount staffers (about 3% of the company’s total workforce) being laid off to reduce a debt pile of around US$15bn. This wave has already hit other kids teams, most notably in February, when SVOD Noggin was shuttered and its whole division let go.

Rose joined Paramount in 2018 as VP of animation production & development for Nickelodeon International, and was promoted to VP of production and development of kids and family at Paramount International in 2021. Rose began his career at UK pubcaster the BBC in 1998, where he worked in the acquisitions teams for both CBBC and CBeebies. After nine years at the Beeb, he spent almost four years in programming and development at HIT Entertainment, before relocating to Sydney to work in the children’s commissioning team at Australian pubcaster the ABC. After five years there, he returned to the UK where he worked for almost two years at prodco Beano Studios.

Bailey joined joined Paramount in 2021, leaving 

Bailey was hired as animation production and development manager for Nickelodeon in 2021, before becoming director of animation production and development for kids and family at Paramount International the following year. Before joining Nickelodeon, Bailey served as a producer and in a head of animation role at Cloth Cat Animation.

Elson has been manager of international production and development for kids and family at Paramount International since 2022, having joined Nickelodeon in 2019 as a production and development coordinator. Prior to Nickelodeon and Paramount, Elson was a production coordinator at Industrial Light & Magic.

In his LinkedIn post, Rose thanked his team for “everything we’ve achieved,” including animated series Sharkdog and The Twisted Timeline of Sammy & Raj and live-action show Rock Island Mysteries.

“Wishing my colleagues who are continuing on this transformative journey all the very best. But from myself and those of us saying our farewells, it’s not goodbye. It’s ‘see you after the break,’” he said.

We’ve worked tirelessly on a distinctive, best in class development slate of live action comedy, franchise reboots, pre school and kids animated series. We’ve produced and exec produced numerous originals and co productions with partners all over the world from Australia to India, China to Brazil and of course Europe and the UK. 

But the best part of it was I got to work with and lead some of the most talented executives, producers, writers and creatives in the business.

'The Smurfs' Season 4 Currently In Pre-Development; IMPS to Rebrand as Peyo Company

A fourth season of the popular animated series The Smurfs is currently in pre-development, IMPS — The Smurfs‘ global license holder — announced today (June 11) at the 2024 Annecy Animation Festival!

IMPS also revealed that it will operate under a new name going forward and begin to revive other original creations from the little blue characters’ famed founder Peyo, aka Pierre Culliford. Characters created by Peyo will be brought to life in new TV shows inspired by the original Johan & Peewit and Benny Breakiron comic books.

Described as an “entertainment entity that proudly promotes and perpetuates Peyo’s work and legacy of creating fascinating stories and art,” Peyo Company will oversee “a wide range of consumer products and experience for kids and adults alike,” Variety reports.

Peyo Licensing is the worldwide licensor for consumer products, family entertainment and experiences, as well as book publishing. Peyo Distribution manages the distribution of the audiovisual catalogue, Peyo Productions oversees the production of audiovisual content and Peyo Creations regroups the studio activities, producing new artwork and stories.

“Peyo Company is currently looking for talents to make these exciting projects happen,” the team explained to Variety ahead of their Annecy presentation.

Interestingly enough, Peyo introduced the Smurfs as a supporting act in a Johan & Peewit story called The Smurfs & the Magic Flute in 1958.

“Readers from the weekly magazine in which Johan & Peewit was published were so enthusiastic about how much they loved these blue characters that they returned and, eventually, Peyo created a spin-off fully dedicated to their adventures,” Peyo Company explained in a release.

As for the company, IMPS was founded in 1984 by Véronique Culliford, Peyo’s daughter.

“Under her guidance, The Smurfs has become an immensely popular brand across the globe, reaching an incredible 95% global brand awareness.” 

Now, as a tribute to her father, Culliford and IMPS have created Peyo Company to regroup all of Peyo’s fascinating universes under a single banner.

“It’s been an honor to be able to build such a success out of the blue characters my father created. And now I hope we will do the same for some of his other creations, Johan & Peewit and Benny Breakiron,” she said.

She also asserted that the decision to rename the company will “underline their engagement to expand his legacy beyond The Smurfs.”

“It’s a well-deserved tribute to my father and features his signature, with which he signed thousands of drawings, as our new logo.”

Although the company has broader ambitions, the Smurfs won’t be forgotten anytime soon. 

Season 2 of the latest version of the show is coming to Netflix on June 30, and Season 3 will launch on Nickelodeon this summer. Season 4 is currently in pre-development.

There is also a new Paramount movie on the horizon, teased by co-director Chris Miller during Variety’s Innovation and Inspiration in Global Animation panel at Annecy.

Nele De Wilde, CCO at Peyo Company, said: “We are delighted to be working with Paramount Animation on an all-new theatrical production, The Smurfs Movie. Paramount pulled together a dream team of filmmakers led by the smurftastic director Chris Miller, co-director Matt Landon and producers Ryan Harris, Rihanna, Laurence ‘Jay’ Brown and Tyran’ Ty-ty’ Smith.”

The film will see the Smurfs going on an “interdimensional adventure” to discover the power within and answer the universal question: “What is a Smurf?”

“We’re thrilled that Rihanna is on board to voice Smurfette and write, produce and perform original songs for the film,” De Wilde added.

The movie will also feature the voices of Nick Offerman, Natasha Lyonne, JP Karliak, Daniel Levy, Amy Sedaris, Nick Kroll, James Corden, Octavia Spencer, Hannah Waddingham, Sandra Oh, Alex Winter, Billie Lourd, Xolo Maridueña with Kurt Russell and John Goodman.

The film is scheduled for a worldwide theatrical release in February 2025.

During Tuesday’s presentation, De Wilde further discussed Johan & Peewit comics and upcoming Tales of Johan & Peewit, which will be an origin story.

“We will follow Johan on his quest to discover where he comes from. With Peewit, of course, a couple of new friends and a Smurf. It’s a full circle. We will do a spin-off of a spin-off.”

The original comic debuted in 1947.

“It was very successful at that time. Peewit has many flaws – he is an anti-hero. He is not perfect like Johan. Peyo, being a bit of a prankster himself, loved to play around with this character. What he couldn’t do with Johan, we could do with Peewit, who is a bit lazy and greedy. He loved that.”

Peewit also served as a visual prototype for the Smurfs.

“His nose is the same and his hair looks like a Smurf cap,” she observed.

As for Benny Breakiron, he was always defending the weak.

“He is not just very nice – he can leap very high and he is very strong. He could lift elephants! He is not some perfect superhero, however, and when he catches a cold, he loses his superpowers. And he always catches a cold when he shouldn’t, which leads to many funny situations.”

Peyo’s grandson Nicolas Tytgat also opened up about his grandfather’s work.

“I think its appeal lies in the universal themes and values. The Smurfs emphasize friendship, teamwork and adventure,” he said. But, as noted by De Wilde, Peyo was sometimes frustrated by the Smurfs’ success.

“They took up all his time,” she said.

“It doesn’t make sense to profile ourselves just as ‘the Smurfs’ company’ anymore, so we needed this rebranding.”

HOLLYWOOD, Calif., June 10, 2024 -- The Jim Henson Company (Fraggle Rock, Apple TV+; The Dark Crystal: Age of Resistance, Netflix) and Paramount's Ananey Studios (Greenhouse Academy, Netflix; Spell Keepers, HBO Europe; Spyders, Nickelodeon International; Craft Party, CBBC) are introducing "climate hope" with The Season Keepers, a new 2D animated series for kids ages 6-12 and their families.

This modern-day fairy tale is inspired by Vivaldi's Four Seasons and welcomes viewers to connect to nature through a fantastical story filled with magical creatures. Twins Lia and Ben find their world and family unraveling when their parents' divorce sends them to their grandmother's small village for what's sure to be a snooze-fest of a spring holiday. Little do they know, they've landed in the middle of an epic battle between the seasons, where Lia discovers her gift to mediate between humans and The Nature Makers—a realm of magical creatures who are the guardians of nature itself. Lia must harness newfound powers and solidify her sibling bond with Ben to mend family rifts, save their grandmother from an eternal slumber, and stop a group of vengeful Nature Makers from plunging the world into a perpetual winter.

Frequent Henson collaborator Craig Bartlett (Dinosaur Train, Sid the Science Kid, Hey Arnold!) is attached as writer for the development of the series.
