Rebecca Jenkins

Rebecca Jenkins (pictured above) has been named the Vice President (VP) of Consumer Products for Paramount Global, in charge of the UK, Ireland, Australia, New Zealand and Israel, it was announced on 8th February by Jamie Drew, Executive Vice President (EVP), Paramount Consumer Products & Experiences.

Rebecca has been with Paramount for five years in roles of increasing responsibility for licensing and retail, and has a strong track record of landing high-profile, global commercial partnerships, most recently including Lush x SpongeBob SquarePants and Calm x Paw Patrol. Already overseeing Australia, New Zealand and Israel, she will assume leadership of the UK and Ireland with her new position, overseeing some of the largest and most popular entertainment franchises in the world.

“Rebecca is highly strategic, data-driven and creative, leveraging her experience and market insights to secure new business opportunities,” said Jamie. “She has always been a fantastic ambassador for Paramount’s Consumer Products organisation, and I’m thrilled for her to take on this expanded role where she can further lead these markets to success.”

Prior to joining Paramount, Rebecca worked at companies including Warner Bros. Discovery, Universal and Disney, in a variety of roles with local and international remit, spanning home entertainment, video games and licensing.

Warner Bros. Discovery Reportedly In Talks to Merge With Paramount Global

Warner Bros. Discovery CEO David Zaslav met with Paramount Global CEO Bob Bakish on Tuesday (Dec. 19) in New York City to discuss a possible merger, Axios has learned from multiple sources. The meeting between the CEOs took place at Paramount's headquarters in Times Square and reportedly lasted several hours,

Warner Bros. Discovery, Paramount Global

Zaslav also has spoken to Shari Redstone, who owns National Amusements, Paramount's parent company, about a deal.

During their meeting, Bakish and Zaslav discussed ways their companies could complement one another. For example, each company's main streaming service — Paramount+ and Max — could merge to better rival Netflix and Disney+.

It's unclear whether WBD would buy Paramount Global or its parent company, National Amusements Inc. (NAI), but a source familiar with the situation says that both options are on the table.
WBD is said to have hired bankers to explore the deal.

The combination of both companies would create a news and entertainment behemoth that would likely trigger further industry consolidation.

WBD could use its international distribution footprint to boost Paramount's franchises, while Paramount's children's programming assets, such as Nickelodeon and Nick Jr., could be essential to WBD's long-term streaming ambitions.

CBS News could be combined with CNN to create a global news powerhouse. CBS' crime dramas, such as NCIS and Criminal Minds, could be combined with Investigation Discovery and TruTV.

CBS Sports' footprint could be combined with WBD's. For example, CBS and WBD's Turner Sports currently share TV rights for March Madness.

Paramount is under enormous pressure to find a strategic partner or buyer, as it's reportedly staring down a mountain of debt.

The firm's stock jumped 12% earlier this month following a report from Puck that Skydance Media and RedBird Capital Partners were eyeing a potential deal to buy a majority stake in NAI.

NAI reached a deal with creditors to restructure some of its debt in September and previously slimmed down by selling Simon & Schuster. It's also in talks to unload BET.

One source familiar with the discussions says the strategy being considered mirrors Zaslav's blueprint for prior mergers. When merging with Scripps in 2018 and then WarnerMedia in 2022, Zaslav kept his core strategic team in place while retaining new creative talent leaders from the companies he acquired.
Executives are confident that the deal would receive regulatory approval, despite D.C.'s active antitrust climate. Notably, Warner Bros. Discovery doesn't own a broadcast network, which would clear an easier path than would a combination with a company like NBC owner Comcast.

A tax provision used to merge WarnerMedia and Discovery expires next year, which would legally allow WBD to explore another deal.

Zaslav told investors last month that the company's cost-cutting measures and debt reduction now put it in a position "to allocate more capital toward growth opportunities."

Paramount, WBD and NAI declined to comment.

Talks between WBD and Paramount are still early and may not ultimately result in a deal. But given the acceleration of cord-cutting and the growing encroachment of Big Tech on media, neither company can remain on the sidelines for long.

WBD's market value was around $29 billion as of Wednesday (Dec. 20), while Paramount's was just over $10 billion.

Update (12/24) - Warner Bros. Discovery CEO Zaslav not ready to make deal for Paramount but options remain on table

Warner Bros. Discovery CEO David Zaslav "is not in deal mode," and his conversations about a potential tie-up with rival studio Paramount Global are said to be more exploratory, suggesting that the speculation of a near-term mega media merger between the two outfits is more wishful thinking than real, according to people with direct knowledge of the matter, reports Fox Business.

That doesn’t mean such a deal is completely off the table, and that there might not be a way to consummate some partnership that ultimately leads to a combination, these people say. Zaslav met with Paramount CEO Bob Bakish on Tuesday, but the conversation largely involved the possible sale of Shari Redstone’s stake in Paramount’s parent, National Amusements, the holding company for her media empire that includes CBS, its sports programming, MTV, Comedy Central, Nickelodeon and streaming platform Paramount+.

Redstone holds the controlling or voting shares of National Amusements, making her the de facto boss of Paramount, the legacy asset of her father, the famed takeover artist Sumner Redstone, who died in 2020 and left her in charge of the media empire he created. Her stake in National Amusements translates into owning about 80% of the voting shares of Paramount. It is said to be worth anywhere from $1.5 billion to $2 billion, according to people with knowledge of the discussions.

The purchase of Redstone’s stake in National Amusements and Paramount would make it easier for Zaslav to start to absorb the media company, which has a market value of around $10 billion, people close to the matter say. He also has spoken with advisers about a straight takeover of the company, though that seems to be a heavier lift, they say.

One problem is debt. Warner Bros. Discovery has $40 billion of it on its books. Paramount also has a heavy debt load of $15 billion, and the rating agency Standard & Poor’s earlier this year lowered Paramount’s bond rating to just above investment grade, citing possible cash flow problems arising from the costs of its expansion into streaming programming, which hasn’t resulted in a significant uptick in revenues.

In addition to the heavy debt load, Zaslav is particularly worried about the high costs of renewing sports rights, such as NFL games, these people say. One Zaslav associate called some of Paramount’s programs, properties such as MTV, a "melting ice cube" because of significantly declining audience share in the face of cord cutting, or consumers eschewing linear or traditional programming viewed through cable, which is a major source of revenue for media companies.

In the era of cord cutting, cable providers pay lower distribution fees to programmers. Another concern: cable advertising remains depressed.

Attractive to Zaslav is the Paramount movie studio, and its library of films, people close to him say, and the economies of scale that can be achieved through the integration of Paramount+ with Warner Bros. Discovery’s streaming service Max. Plus, he might be able to pick up some premium media properties on the cheap, since Paramount has let the world know that it is desperate to sell as its business conditions deteriorate.

Zaslav and a Warner Bros. Discovery press official did not return a call for comment. A spokesman for Paramount had no comment.

"This is all b------t, it has a zero percent chance of happening," said Rich Greenfield, a veteran media analyst at LightShed Partners, who has long predicted the demise of linear TV of the type offered by both Paramount and Warner Bros. Discovery.

Greenfield says that Paramount is being forced to shop itself as its business model is thought to be slowly collapsing by some, and most big media companies will take a look at its books. The problem is that there are too many unknowns about the future of its programming, he said.

"Nobody is buying this thing for the next six months because its major [cable] distribution deals are expiring, and no one knows what they will be," he said. "What you’re seeing now is just leaks from Paramount, because these guys are in a scary position."

Other outfits have signed non-disclosure agreements with Paramount, thus their talks are more formal. They include Redbird Capital, Skydance Media, and acting on his own, soon-to-be retiring Activision Blizzard CEO Bobby Kotick. But those talks have been reported for weeks, and a deal, as of now, remains elusive.

Zaslav, a long-time media executive, was the architect of the Time Warner-Discovery merger completed in April 2022, which combined media properties such as HBO, CNN, the Food Network, the Cartoon Network and Warner Bros. Studio.

He’s considered particularly adept at integrating businesses, a skill honed as a long-time executive of NBCUniversal, then owned by General Electric and led by CEO Jack Welch, the late and legendary cost-cutter known as "Neutron Jack."

Zaslav is a Welch protégé and, in Welchian fashion, he has eliminated nearly $12 billion in debt since the Time Warner deal and now has $5 billion in free cash flow to pursue acquisitions, people close to him say. Zaslav has said that he is interested in expanding Warner Bros. Discovery through acquisitions.

"[Zaslav] is actually in a good position to buy something," said one person close to him. "But as of now, he’s just looking at this deal."

Paramount Reportedly Explored Sale or Merger

Recently, Paramount, the parent company of Nickelodeon and Paramount+, has been looking to sell some of its assets and make cuts to others. Now, according to a report from CNBC, Shari Redstone, president of National Amusements and controlling shareholder of Paramount Global, is open to a merger or selling the company if the price is right.

Important Note: Paramount Global at this time isn’t actively working with an investment bank on a sale, according to people familiar with the matter. The company is content to wait for a shift in market conditions or regulatory officials before getting more aggressive on a transformational deal, said the people.

Paramount water tower

Shari Redstone owns roughly 80% of Paramount Global voting stock and was reportedly the main force behind merging CBS and Viacom back in 2019. That merger resulted in the company we now know as Paramount.

Paramount holds a lot of assets that would attract many potential buyers. Its local affinities and the CBS network alone are highly attractive, especially for their NFL contract. However, the company has a lot more to offer, including Nickelodeon, Paramount+, MTV, Pluto TV, Comedy Central, Showtime, and more. This also includes popular shows and franchises like SpongeBob SquarePants, Star TrekSouth Park, and more.

In recent years, most media companies, including Paramount, have been struggling with the growth of  cord cutting. Paramount’s market capitalization has reportedly dropped to $7.7 billion as 2023 hit many media companies hard. That is the lowest level it has been at since the 2019 Viacom and CBS merger. That drop could make the company a target for a merger or a sale.

According to CNBC’s sources, any potential deal for Paramount would have to be at a good price or the Redstone family wouldn’t accept it. Exactly what that price is was not disclosed in the report.

Paramount has a lot going for it right now, with Paramount+ hitting 61 million subscribers, a number that other major streaming services could only dream of. It also has very lucrative sports deals, including the NFL, March Madness, and a new deal with the Big Ten that will see more college football and basketball games on CBS. This could help Paramount outlast any further drop in the market, but it also makes it very attractive to potential buyers.

Some outsiders have said they believe Paramount is too small in the long run, though, to compete with Disney, Warner Bros. Discovery, NBCUniversal, and a growing number of streaming companies like Amazon along with Apple. Even with its large catalog of shows and networks Paramount is facing massive companies like Disney and the newly merged Warner Bros. Discovery.

For years we have heard predictions that there would be consolidation in the market because of cord cutting. Disney’s deal to buy 21st Century Fox was likely only the start of what could be a number of big mergers. We also saw Discovery and Warner Media merge recently. Now, there are rumors that Warner Bros. Discovery and even NBCUniversal could be interested in buying up some or all of their competitors. Could that mean they are looking at Paramount? For now, we will have to wait and see.

John Halley, who previously served as Executive Vice President and Chief Operating Officer, Advertising, will succeed Ross as President, Paramount Advertising, overseeing the company's domestic multiplatform sales efforts across its leading portfolio of broadcast, cable, digital and streaming assets. He will report to Bob Bakish, President and Chief Executive Officer of Paramount, effective immediately.

As Chairman, Ross will continue to provide her expertise and experience in a strategic advisory role to ensure a smooth transition.

"Jo Ann is a true trailblazer in our industry and a dominant force behind the success of CBS, ViacomCBS, and now Paramount Global," said Bakish. "As the world of entertainment has evolved, Jo Ann has been on the forefront of advertising innovations that have been instrumental to establishing Paramount as a trusted partner and must-buy for advertisers everywhere. Her talent and passion for this business is only matched by her exceptional ability to lead through change, building talented teams and enduring client relationships throughout her illustrious career. Bakish continued: "John is a proven leader and visionary who has driven innovations in Paramount's advertising business that have set the pace for the entire industry for years. Given the rapid pace of evolution in advertising, John is ideally suited to lead Paramount's sales organization forward."

Ross joined CBS in 1992 as Vice President of Olympic Sales and rose to become the first woman to serve as sales chief of a broadcast network and the longest tenured sales head in broadcast television. She shepherded transformative advertising practices for the industry that instituted the company's first-mover advantage and sustained market-leading position, from creating new ways to sell network programing and genre-defining franchises to successfully adapting to the advent of digital video and streaming platforms. Along the way, her sharp wit, ingenuity and steadfast commitment to her team and clients became a hallmark of her superlative leadership — including leveraging the company's expansive portfolio and massive footprint to advance diversity and inclusion.

As a result, Ross has been recognized with innumerable industry awards and accolades throughout her groundbreaking and storied career. In November, she will accept the prestigious Center for Communication's Frank Stanton Award, honoring individuals who not only achieve great success in the business, but who also serve as tireless advocates for a more equitable industry. She serves on the board of directors of the John A. Reisenbach Foundation, the Ad Council, the VAB, the International Radio and Television Society, and FourBlock. She also supports Memorial Sloan Kettering's Cycle for Survival to accelerate progress in rare cancer research.

Halley joined Viacom in 2007 and has led commercial and business operations in various roles for Viacom, ViacomCBS and now Paramount's advertising efforts over the last 15 years. He has worked closely with Ross to unify the sales team post-merger and drive a go-to-market strategy that has been integral to the company's extraordinary digital advertising growth. Halley's continual focus on innovation and ad effectiveness over the years has led to multiple product introductions, including the development of Vantage, the industry's leading audience targeting platform; the launch of EyeQ, Paramount's scaled, multi-billion dollar connected TV ad product; and the creation of OpenAP, the advanced activation platform for the convergent video marketplace that enables scale and transactional simplicity for new currencies. Halley currently serves as Chairman of OpenAP and is a board member of Blockgraph, the IAB, and the VAB. He is also Chairman of the New York Chapter of the March of Dimes and a board member of Literacy Inc.

Nathan Schram has been promoted from director to VP at the studio, while Shannon Friedrichs-Higdon moves up to SVP of content and brand strategy for kids and family at parentco Paramount Global.

There’s lots of executive news coming out of the Paramount stable this week, with two key promotions in the kids and family team and a title change for marketing executive Sabrina Caluori.

On the content side of the media company’s business, Nathan Schram has been elevated from director to Vice President (VP) of development at Nickelodeon Animation, where he’s been working primarily on adapting book franchises and developing current series for nearly four years.

During this time, he has optioned more than 20 kidlit properties for Nickelodeon Animation, Nick Live Action and Nick Jr, along with developing concepts for linear TV and streaming.

Prior to joining Nick, Schram worked at LA-based Saban Brands, original home of the Power Rangers franchise and a major IP owner throughout the 2010s. He served in several key development and positions there, overseeing work on Saban’s TV series from greenlight to distribution.

In other news, Nickelodeon veteran Shannon Friedrichs-Higdon has been promoted from VP to Senior Vice President (SVP) of content and brand strategy for kids and family at Paramount Global.

Friedrichs-Higdon takes on new responsibilities to maximize the value of Nickelodeon across all international linear and streaming platforms for Paramount Global, including Paramount+ and Pluto TV outside the U.S.

She will continue to work closely with Jules Borkent (Managing Director and Executive Vice President, kids and family), Doug Craig (SVP of content strategy for international streaming) and the Pluto TV teams worldwide.

Friedrichs-Higdon’s current projects include Monster High: The Movie, coming this October to Nick and Paramount+; Transformers: EarthSpark, hitting Nickelodeon and Paramount+ later this year, and recent rollout Rock Island Mysteries, a collaboration with Fremantle.

In the marketing team, Nickelodeon has also bumped Sabrina Caluori from SVP of brand and content strategy to EVP and head of marketing and brand strategy. Caluori joined the company in 2021 and she now leads on-air and off-air consumer marketing, as well as brand creative and content launches globally on all  linear, digital and social platforms.

These internal changes come on the heels of Nickelodeon building its content pipeline with a recent greenlight for 2D-animated series Super Duper Bunny League (working title), which is slated for a 2024 US premiere on Nick Jr., and also a new round of its Intergalactic Short Film Program.

The news was first reported by Kidscreen.

Shari Hanson Promoted To EVP, Physical Production And Visual Effects For Paramount Pictures & Nickelodeon Animation

Shari Hanson has been promoted to the role of Executive Vice President (EVP), Physical Production and Visual Effects at Paramount Pictures and Nickelodeon Animation.

In her new role, Hanson will continue her work on Paramount’s live-action features, while expanding into the realm of hybrid animation/live-action titles at Nickelodeon. The longtime physical production exec came to Paramount in 2015, having previously worked at companies including Industrial Light & Magic.

Prior to joining the physical production team nearly seven years ago, Hanson worked with Paramount on several of its film franchises. She began her career at Industrial Light & Magic in 1994, where she oversaw over 200 commercials, music videos and feature films. At the company, which was founded by George Lucas, Hanson was a visual effects producer for several CGI-heavy films such as Hulk, The Day After Tomorrow, The Island, Mission: Impossible 3 and Transformers.

She later transitioned to freelance and continued to work in visual effects on films such as Rango, Star Trek, The Lone Ranger and Terminator Genysis, as well as with directors including Ang Lee, J.J. Abrams, Michael Bay and Gore Verbinski.

Hanson’s promotion comes as Paramount Pictures and Nickelodeon Studios work to streamline their strategy for production.

Announcing Hanson’s promotion today (July 5) was Paramount Pictures and Nickelodeon Studios’ President of Worldwide Physical Production, Lee Rosenthal. Read his memo circulated internally at Paramount and Nick below.

Dear Team,

As our organization continues to move forward with the overall strategy for aligning and optimizing the production groups across Paramount Pictures and Nickelodeon Studios, I want to share an exciting update with you.

I am proud to announce that Shari Hanson, an exemplary executive, and invaluable member of our team, is being promoted to Executive Vice President of Physical Production and Visual Effects for Paramount Pictures and Nickelodeon Animation. In addition to her work on Paramount’s live-action films, Shari’s portfolio will expand to include our hybrid animation/live-action titles produced at Nick Animation.

As we all know, Shari is a great physical production executive and trusted partner to our producers, as witnessed on The Lost City, Clifford the Big Red Dog, Gemini Man and Crawl. With this newly created hybrid role, we have an amazing opportunity to bridge our VFX and production work in unique, collaborative ways moving forward. Given her thirty-year track record in production and VFX and strong, trusting filmmaker relationships, I have no doubt Shari will elevate our VFX operations as we continue to ramp up our slates in ’23-’24 and beyond.

Prior to joining us as a physical production executive in 2015, Shari worked with Paramount on several of its most beloved franchise properties. After beginning her career in advertising, her passion for visual storytelling led her to Industrial Light & Magic in 1994 where she moved up the production ladder on over 200 commercials, music videos and feature films. During an era of immense visual effects innovation, Shari was a visual effects producer for several groundbreaking films such as Hulk, The Day After Tomorrow, The Island, Mission: Impossible 3 and Transformers. Building on her filmmaker and studio relationships, she transitioned to freelance and continued to VFX produce, associate produce and co-produce tentpole films such as Star Trek, the Oscar®-winning Rango, The Lone Ranger and Terminator Genysis. Shari has worked repeatedly with many of the industry’s most revered directors including Ang Lee, JJ Abrams, Michael Bay and Gore Verbinski.

It’s incredible to think how much we’ve accomplished as a studio since the start of the year, and I’m just so grateful and proud to be part of this team.  I hope everyone is really feeling our momentum and understands how important our expertise is to the broader organization.

Thank you to everyone for your commitment, hard work and passion — and please join me in congratulating Shari on this new role!

Lee
